International oil and gas practice involving the representation of U.S. and foreign companies and governments on a variety of legal and policy matters in the U.S., Mexico, Latin America, Europe, the former Soviet Union, Africa, the Middle East, and Southeast Asia.  Practice includes the drafting and negotiation of a variety of agreements related to the international upstream oil and gas and oil service industries, representing U.S. companies in connection with international ventures including establishment of foreign subsidiaries and branches, usually working with local counsel, and U.S. compliance and sanctions policies applicable to international transactions.

Particular expertise in corporate governance and compliance issues related to international business transactions including Foreign Corrupt Practices Act, anti-trust and anti-boycott laws, foreign trade sanctions, and export controls.  Conducted a series of training seminars for employees of a major oil service company in the U.S and several locations in the U.S., Africa, the Middle East, and the former Soviet Union.   

Served as outside legal advisor to the Governments of Kazakhstan, Uzbekistan, Turkmenistan and Georgia under a contract with the U.S. Agency for International Development.  Responsibilities included drafting legislation, regulations and model contracts designed to assist and promote the domestic energy industry and attract foreign investment to the energy sector, both upstream and downstream, training of government officials, and providing legal advice on related issues such as foreign investment and privatization, working closely with senior government officials and representatives from the U.S. Government, other foreign governments, the European Union, the World Bank, and the European Bank for Reconstruction and Development.

Co-chair of the first international transactions section of the firm.  Worked closely with attorneys in other offices of the firm, including New York, Houston, Brussels and Moscow, to develop new practice area.  Represented U.S. and foreign companies in connection with their international transactions, including advice on U.S. and foreign government policy considerations affecting oil and gas investment opportunities. 

Served as outside legal advisor to the Governments of Ukraine and Bulgaria on World Bank technical assistance projects designed to attract foreign investment to the natural resources sector, including oil and gas and hard minerals.  Analyzed existing legislation on foreign investment and drafted petroleum exploration and production laws and model contracts.  Organized and conducted training programs for government employees on the international oil and gas industry, including legal and regulatory issues.

 

DEPUTY ASSISTANT SECRETARY FOR INTERNATIONAL AFFAIRS      1989-1992

Political appointment as one of the primary policy advisors to the Secretary of Energy and the Department of Energy (DOE) on international energy policy matters during the first Bush Administration (1989-1992) and the primary DOE point of contact for relations with foreign countries and international organizations.  Worked with other U.S. agencies (in particular the White House, the State Department, the Commerce Department, and the Office of the U.S Trade Representative), U.S. embassies and numerous foreign governments in support of the U.S. Government’s energy and foreign policy objectives.

Managed the Office of International Affairs at DOE, which coordinates the development and implementation of international energy policy; provides analysis on international oil markets and coordinates the response to international oil emergencies; and facilitates and directs the Department's bilateral and multilateral activities.  Collaborated with other U.S. agencies and international organizations to promote U.S. foreign policy goals, implement bilateral and regional energy cooperation, and expand U.S. business opportunities abroad.

Responsible for developing DOE’s position on issues such as assistance to the American energy industry, the North American Free Trade Agreement (negotiated the energy chapter), the European Energy Charter, aid to the former Soviet Union and Eastern Europe, Asia-Pacific Economic Cooperation (APEC), the Persian Gulf crisis, international research and development, and nuclear nonproliferation policy.  Led U.S. Government delegations in bilateral energy consultations with numerous foreign governments in the Soviet Union, Latin America, Europe, Asia and Africa and organized several energy conferences to assist the U.S. energy industry.  Supervised professional staff of 55 full‑time employees and administered annual budget of $5.4 million.

Private law practice with a concentration on domestic oil and gas matters.  Represented independent producers in connection with land title work (numerous stand-up, drilling and division order title opinions), leases, farmouts, operating agreements and related matters, and purchase and sale of producing properties.  Provided oil and gas expertise in litigation and bankruptcy proceedings.
